30th Anniversary Message

Campbell, Thomas-GraySince the founding of Gallop, Johnson & Neuman 30 years ago, the legal profession has undergone significant changes.  Law firms are larger, competition is keener and demand for delivery of prompt and cost-effective legal services has increased.  Just as technology has impacted virtually every facet of our lives, it has dramatically impacted the speed and efficiency in which legal services can be delivered.  E-mails, hand-held computers and cell phones have made attorneys accessible anywhere, at any time.  The expectation is that with such accessibility, responsiveness also will be swift.  This is certainly not the same law firm that was founded 30 years ago.When organizations grow, they sometimes lose some of the core values upon which they were founded.  I am proud to say that despite our firm’s tremendous growth and the challenges of a changing legal profession, Gallop, Johnson & Neuman’s core values have remained intact. The shared values which govern how we treat each other as legal professionals and how we treat our clients remain an important reason for our success and strength.  One value we share is a commitment to excellence. David Massa Named Coordinator
For Public Health Emergencies Legal Preparedness Program

Massa, DavidGJN partner David J. Massa, who practices in healthcare and government law, has been named St. Louis area coordinator for the Joint Program on Legal Preparedness for Public Health Emergencies. The initiative is administered by the U.S. Department of Health & Human Services, the Centers for Disease Control & Prevention and the American Bar Association Health Law Section.The joint program helps to develop legal preparedness of the public health system to address terrorism, epidemics and other national public health priorities; promotes continuing education in legal and healthcare communities; and works to strengthen partnerships among elected officials, legal practitioners, healthcare professionals and law enforcement agencies, among additional initiatives.David is chairman of a symposium focusing on “Legal Preparedness for Public Health Emergencies” that will occur in St. Louis May 18-20, 2006. It will be attended by professionals in law, healthcare, government, law enforcement and business. Some of its presentations will qualify for CLE credits.David is a graduate of Yale Law School and Washington University in St. Louis and was recently elected a partner at GJN (see story below). In Acquisition of Mining Supply Company

Michael MorganGJN partner Michael Morgan represented Bates Sales Company of St. Louis in its purchase of The Mine Supply Company of Carlsbad, New Mexico. The acquisition is expected to double Bates’ annual revenue to about $40 million.It is Bates’ fourth acquisition since its CEO Joseph Adorjan, who is former chief executive of BorgWarner, Inc. in Chicago, acquired Bates in 2001 and announced plans to expand the firm.Founded in 1928, Bates is a major distributor of engineering and industrial machine parts to leading companies, including St. Louis-based Emerson.  Mine Supply, founded in 1946, distributes equipment to large mining operations in the Southwest and Midwest. Mr. Adorjan’s son Michael Adorjan is Bates’ president.Michael Morgan is a veteran business attorney who concentrates his practice in corporate transactions, mergers, acquisitions, securities law and international law. He has served as lead counsel in sale, purchase and merger activities for many businesses in the U.S. and overseas.

 

Jalesia McQueen Elected Secretary
Of Land Clearance for Redevelopment Authority

McQueen, JashaGJN attorney Jalesia F. “Jasha” McQueen has been appointed to the Land Clearance for Redevelopment Authority of St. Louis County (LCRA), a division of the St. Louis County Economic Council, by County Executive Charlie A. Dooley and has been elected LCRA secretary by its members.

Jasha is an associate in GJN’s Governmental Law and Relations department dealing with clients in the areas of immigration and governmental affairs. She also is experienced in areas of commercial litigation, product liability, biotechnology, construction, environmental law and international law.

The LCRA was established per state statute for the purpose of eliminating or preventing blight in St. Louis County, and is authorized to prepare and implement redevelopment plans and projects, contract for the services for such projects and to acquire property and prepare it for redevelopment. 

LCRA focuses on creating sustainable communities by identifying and implementing strategies for effective land use and development, with special attention to land that is idle, abandoned, underutilized or contaminated.  Redeveloping such areas helps to attract new businesses and improve quality of life in St. Louis County.Jasha also was recently selected for “Leadership Clayton,” an exclusive, nine-month program administered by the Clayton Chamber of Commerce to inform and nurture young leaders. Participants attend monthly, half-day classes to study vital local issues and meet with leaders in government, business, educational and not-for-profit sectors so they can be better prepared for leadership roles in the community.

IRS Finalizes Rules for Roth 401(k)
On December 30, 2005, the IRS issued guidance applicable to Roth contributions made to 401(k) plans under Code § 402A.  The final regulations became effective January 1, 2006.  Generally, Roth contributions are analogous to Roth IRAs.  They are includible in the employee’s gross income at the time the election is made and thus are made with after-tax dollars.  When distributions are made at a later date, the contributions and earnings on the contributions are not taxed.  Unlike Roth IRAs, there is no maximum income limit with respect to the persons eligible to make Roth 401(k) contributions.The final regulations are consistent with the proposed Roth 401(k) regulations issued in March 2005, and include some of the following key changes and clarifications:
  • Timing of Election.  Roth contributions must be elected as part of a participant's cash or deferred election, not at a later date.
  • No Roth-Only Plans.  A plan may not offer Roth 401(k)-only options, but must also offer pre-tax elective deferrals.
  • Election Changes.  A participant must be permitted to change his Roth 401(k) contribution election at least once per year.
  • Automatic Enrollment.  Individuals who become participants in a 401(k) plan because of an automatic enrollment feature may be automatically enrolled with Roth rather than pre-tax 401(k) contributions.  The plan document must specify whether contributions made for automatically enrolled participants will be Roth or pre-tax contributions.Plan sponsors that wish to implement Roth contributions in 2006 for defined contribution plans must amend their plans to permit such contributions, pursuant to Revenue Procedure 2005-66.  People who seek additional information about the Roth 401(k) guidance may contact GJN’s Thomas H.     Commercial Lending Alert Available from GJN
    References Lender Liability Concerns

    Walsh, JohnJohn P. Walsh, chairman of GJN’s Business Services Department and the Commercial Finance Practice Group, has produced a “Commercial Lending Alert” for review by banking and other executives involved with commercial lending.Lender liability litigation historically has been a major concern of financial institutions.  In 2004, the Missouri legislature passed a new statute, §432.047, applicable to commercial financial transactions. In light of the above, John recommends that lenders carefully review their loan document forms, especially for the following matters:
    • All loan commitment or proposal letters, loan agreements, promissory notes, security agreements and mortgages used in commercial transactions should have the new warning language required by §432.047 to assure that Missouri's broader no-oral-loan-agreement statute will be applied to the lender's commercial loans.
    • Lenders should consider including conspicuous, unambiguous jury trial waiver provisions in all lending-related documents.
    • Even though there are no Missouri cases interpreting one-way arbitration in a commercial lending setting, if lenders wish to use provisions (for, among other reasons, lessening the potentiality of class action lawsuits arising out of a lending policy of the financial institution), lenders should also include a back-up provision, in the event that the arbitration provision is held to be unenforceable, that would require the parties to waive the right to trial by jury.In general, Missouri courts have shown a tendency to enforce commercial contracts, such as loan agreements, exactly as written. She earned an LL.M. - Taxation and a J.D. degree from Washington University School of Law, and a B.S.B.A. with honors from the University of South Dakota. Cynthia is a member of The Missouri Bar and The Bar Association of Metropolitan St. Louis.Andy practices in the areas of commercial litigation and product liability defense.  He focuses on matters related to commercial real estate, breach of contract, franchise termination, non-compete agreements, shareholder disputes, lender liability claims and insurance issues.  He also represents manufacturers of industrial and consumer products in toxic tort cases and product liability claims. Andy earned a J.D. degree with honors from Washington University School of Law and a B.A. with honors from Coe College. He practices in Missouri and Illinois and is a member of The Bar Association of Metropolitan St. Louis.David focuses on corporate compliance and defense, healthcare, commercial and government contracting, litigation and government regulation.  His litigation expertise includes investigation, mediation, arbitration, trial and appeal.  He represents clients in aerospace, chemicals, construction, education, healthcare, manufacturing, pharmaceuticals, services contracting and transportation.  David earned a J.D. degree from Yale Law School and a B.A. in Economics magna cum laude from Washington University in St. Louis.       Kepler, JohnFutrowsky, Cathy GJN's growth continues with the addition of John W. Kepler III, a respected intellectual property attorney whose practice focuses on Intellectual Asset Management. He joined the law firm's Intellectual Property Group in November. Cathy J. Futrowsky, an IP attorney who works closely with Mr. Kepler, also joined GJN in November. Cathy is based in Washington, D.C. and will work there as of counsel for GJN.John focuses on a fast-growing area of intellectual property law that helps clients with identification, procurement, transfer and protection of brands, inventions and other original creative work. He is licensed to practice before the U.S. Patent & Trademark Office. His clients include companies in biological, electrical, financial, Internet services, industrial machinery, software and consumer goods. Since 1991, John has been an adjunct professor at the Washington University School of Law in St. Louis. He is the author of articles for legal and business publications, and he lectures on IP issues at legal seminars and professional meetings. John earned a J.D. degree from Suffolk University and a B.S. in mechanical engineering from Purdue University.Cathy represents clients in all aspects of IP and technology protection law. As a registered patent attorney, she has prosecuted patents before the U.S. Patent & Trademark Office and other venues.  She earned a J.D. degree from Washington University School of Law and a B.S. in chemical engineering from Cornell University.Sherry Roussin, a paralegal who works closely with Mr. Kepler and Ms. Futrowsky, also joined GJN in November.

          Department of Labor Issues
          Final USERRA Regulations and Notice
          On December 19, 2005, the U.S. Department of Labor (DOL) published final regulations interpreting the Uniformed Services Employment and Reemployment Rights Act of 1994 (USERRA), which is the federal law that establishes employment and benefit rights for individuals who leave their jobs to perform military service.  Additionally, the DOL published final regulations regarding the employer notice obligations under USERRA.  The regulations are the first “final” regulations issued clarifying USERRA and became effective January 18, 2006.The regulations provide guidance on obligations and rights under USERRA, including how USERRA prohibits discrimination and retaliation because of military service, prevents employment disadvantages due to military service, and allows service members time to report back to work following military service. Among the specific rights and obligations provided by USERRA:

          • Reemployment
          • Five-Year Limitation
          • Continued Health Coverage
          • Healthcare Upon Reemployment
